WEBSITE DEVELOPMENT TERMS AND CONDITIONS
This Website Development Contract (“Contract”) is entered into by and between the Client and the Developer, as specified in the signed contract.
1. Scope of Work
Developer agrees to design, develop, and implement a website (“Website”) according to the specifications outlined in the attached Statement of Work (SOW), which is incorporated into this Contract by reference.
2. Deliverables
Developer will provide the deliverables as specified in the signed contract.
3. Payment Terms
- Total Fee: The total fee for the services provided under this Contract is specified in the signed contract.
4. Timeline
- Project Start Date: The start date is specified in the signed contract.
- Project Completion Date: The completion date is specified in the signed contract.
- Any changes to the timeline must be agreed upon in writing by both parties.
5. Changes and Revisions
- Scope Changes: Any changes to the scope of work must be documented and may incur additional charges.
- Revisions: Client is entitled to 2 rounds of revisions. Additional revisions will be billed at a rate of $100/hr.
6. Client Responsibilities
- Content Provision: Client agrees to provide all necessary content, including text, images, and other materials, by the deadline specified in the signed contract.
- Feedback: Client agrees to provide timely feedback and approvals as required during the development process.
7. Intellectual Property
- Ownership: Upon full payment, Client will own the final website design, including all HTML, CSS, JavaScript, and other code.
- Developer’s Rights: Developer retains the right to display the project in their portfolio and advertising materials.
8. Confidentiality
Both parties agree to keep confidential any proprietary information, including trade secrets and any other confidential information, that may be disclosed during the course of this Contract.
9. Termination
- Termination by Client: Client may terminate this Contract at any time by providing the notice period specified in the signed contract. In such event, Client will pay for all work completed up to the termination date.
- Termination by Developer: Developer may terminate this Contract if Client fails to make payments in accordance with the Payment Terms or otherwise breaches this Contract.
10. Warranty and Liability
- Warranty: Developer warrants that the Website will perform substantially in accordance with the specifications for the period specified in the signed contract after delivery.
- Limitation of Liability: Developer’s total liability under this Contract will not exceed the total fees paid by Client.
11. Dispute Resolution
Any disputes arising under this Contract will be resolved through the method specified in the signed contract. If a resolution cannot be reached, the matter will be submitted to the courts of the jurisdiction specified in the signed contract.
12. Governing Law
This Contract will be governed by and construed in accordance with the laws of Hillsborough County, Florida.
13. Entire Agreement
This Contract, including the attached Statement of Work, constitutes the entire agreement between the parties and supersedes all prior understandings, agreements, or representations.
14. Amendments
This Contract may be amended only by a written document signed by both parties.
